Dear BayPay Members,
The
passage of the JOBS Act has disrupted the investment market, and will change the landscape of fundraising as we know it. This session will discuss the
passage of the JOBS Act, the regulatory and compliance risks, and the future of raising capital. The event provides attendees with take-home insights
into the challenges and opportunities around crowdfunding today and beyond.
A
panel of distinguished industry experts will discuss their diverse perspectives on opportunities and risks related to this new way of raising capital,
how we got here and what's ahead of us. View their bios below or on our website.
This
session will be particularly useful for entrepreneurs who are faced with the problem of funding their venture or
projects and also for executives interested in learning about business opportunities in this novel space where still
a lot of friction exists to make smooth payments.
The
event will be hosted in Orrick's Silicon Valley Office (1100 Marsh Road, Menlo Park, CA) on January 21, 2014

Speakers and Panelists:
James Alexander Director
at CircleUp.
James Alexander served on the executive team of Prosper
Marketplace, where he was responsible for attracting institutional capital to the peer-to-peer lending platform. He was also head of business
development at Colchis Capital Management, among the largest lenders on the LendingClub and Prosper platforms, managing an estimated $400
million. He recently joined CircleUp, where he is responsible for the family of funds, enabling actively managed access to a broad range of
consumer product companies.
James has significant financial services industry experience in
principal investing, sales, marketing and business development across various asset classes. During his career he has worked at notable
institutions including Goldman Sachs, Nomura and Royal Bank of Canada. He was also the Co-Founder and Managing Partner of Alternative Capital
Associates, a Swiss merchant bank.
Sanj Goyle CEO at Bancbox
Prior to Bancbox, Sanj spent several years in Yahoo where he led the performance
marketing team that developed and operated Yahoo's Cost-per-Lead (CPL) line of business which launched multiple products (such as Yahoo Tagline in
Yahoo Mail, Yahoo Cross Sell in Yahoo Games etc). Sanj started his career as a corporate attorney specializing in Corporate Securities, M&A, and
Privacy and he has considerable experience with the privacy and legal issues related to the marketing of consumer finance products. Sanj is a
licensed real estate broker in California, and is a Certified Information Privacy Professional. Sanj graduated from Boston University School of Law
(magna cum laude) and Duke University.
Roger Royse Attorney at Royse Law Firm
Roger Royse, the
founder of the Royse Law Firm, works with companies ranging from newly formed tech startups to publicly traded multinationals in a variety of
industries, including technology, entertainment and new media, sports, real estate and agri-business. Roger regularly advises on complex tax
structuring, high stakes business negotiations and large international financial transactions. Practicing business and tax law since 1984,
Roger’s background includes work with prominent San Francisco Bay area law firms as well as Milbank, Tweed, Hadley and McCloy in New
York City. Roger is a participating instructor of corporate law for the Center for International Studies (Salzburg Austria) and has been an adjunct
Professor of Taxation (Property Transactions and International Taxation) for Golden Gate University. Roger is the founder of the philanthropic
organization “Team Motion to Dismiss Cancer” which conducted high profile auctions of meetings with venture capitalists to raise money for
charity and has been recognized for his efforts on behalf of The Leukemia & Lymphoma Society by being named the 2012 San Francisco Bay Area
Chapter Man of the Year. Roger is the author of the recently published Dead on Arrival: How to Avoid the Legal Mistakes That Could Kill Your
Startup, sits on the boards of advisors and mentors to several funds, accelerators and tech companies and takes an active role in the strategic
planning decisions of his clients. Roger also acts as trusted advisor to a national and international clientele of high net worth individuals. Roger
is a Northern California Super Lawyer, is AV Peer-Rated by Martindale Hubbell, has a “Superb” rating from Avvo and is a
recipient of the Intercontinental Finance 2013 500 Leading Lawyers Award.
Greg Ryan CEO at Daric
Mr. Greg Ryan serves as
the Chief Executive Officer of Daric, Inc. As Chief Executive Officer, Mr. Ryan conceptualized the idea for the venture, secured seed funding
from top investors, recruited top engineering talent, oversaw the construction of the platform, and launched with record aggregation of quality
borrowers. Mr. Ryan earned a Bachelor of Arts degree from Santa Clara University.
Joy Schoffler Principal
at Leverage PR.
Joy Schoffler, Principal of Leverage PR, is a nationally recognized author and
speaker in the emerging Crowdfunding industry. Within Leverage, Joy oversees day to day operations and directs strategy for all Leverage PR accounts.
Prior to launching Leverage PR, Joy consulted to and worked with a number of growth phase firms including serving as Director of Acquisitions for the
two-time Inc. Award winning Investment firm, The PPA Group. Companies Joy has worked with have been acquired, raised large amounts of capital, secured
Fortune 500 accounts (from start-up phase) and have experienced tremendous growth through creative messaging and dynamic traditional and new media
strategies.
Tim Sullivan CEO at Microventures.
As Chief Executive Officer of MicroVentures, Tim Sullivan is
accountable for the strategic direction and functional execution of business objectives. Formerly, as President of Sharespost Financial
Corporation, Tim built the team and trading infrastructure which was responsible for Sharepost's preeminent position in today's secondary market. Tim
transacted with over 30 private issuers, representing over $1B in transactions, resulting in over $30mm in revenue to Sharespost. Previously,
Tim has held leadership roles at Susquehanna Financial Group, Oracle, and IBM. Throughout Tim's career, he has managed more than $3B worth of
private equity transactions and enjoys a consistent track record of surpassing expectations. Tim has a Bachelor of Art in Political Science
from Colgate University and while at Colgate, he founded, coached, and played on their water polo team. He currently sits on the board of the
Montessori Children's House and he holds FINRA Series 7, 24, 66, 79, and 99 licenses. Tim is based in our San Francisco office.
Ray Sturm Co-founder and COO
at RealtyShares
Ray began his career in finance, working in investment banking
first on the Acquisition Finance team at Bear Stearns and then the Restructuring team at Lazard Frères. From there, he joined CCMP Capital as a
private equity investment professional. While at CCMP, Ray evaluated both company and infrastructure investments in a variety of industries in both
North America and Europe. Most recently, Ray was the Director of Business Development at a multinational corporation, leading partnership and
integration efforts. Ray holds an MBA from the University of Chicago Booth School of Business, a JD from the University of Chicago Law School, and a
BBA in Finance from the University of Notre Dame. In his spare time Ray enjoys camping, road trips and producing wine.
Andrew D. Thorpe Partner
at Orrick
Andrew Thorpe, a partner in Orrick's San Francisco office,
is a member of the Corporate group. Mr. Thorpe’s practice focuses on securities regulation, public offerings, mergers and acquisitions and
corporate governance. His diverse industry experience spans semiconductors, software, life sciences, medical devices, clean technology,
financial services, telecommunications, and the Internet. Prior to entering private practice, Mr. Thorpe worked in the Division of Corporation Finance
of the Securities and Exchange Commission, where he was responsible for reviewing public companies' Securities Act and Exchange Act filings. From
January 2001 to April 2005, Mr. Thorpe served as special counsel with the Office of Rulemaking within the Division of Corporation Finance. While in
this position, he played a significant role in drafting many of the regulations emanating from the Division, including those mandated by the
Sarbanes-Oxley Act of 2002.
